Terms of Use
The rules of the road for using our sites and Products.

These Terms of Use ("Terms") are a binding agreement between you and Veridem Holdings Inc. ("Veridem," "we," "us," or "our"), a Delaware corporation. They govern your access to and use of our websites, waitlist forms, and Products — including Stem:Ample, Re:Writ, Compose:EP, MHAIX, MHAIX·V, and Rendered Sound (each, a "Product").
By using any of our websites or Products, you agree to these Terms. If you don't agree, please don't use them.
Most of our Products are still in development. The pages you're seeing now are previews and waitlist sign-ups. Features, pricing, and availability described on those pages may change before launch. If you join a waitlist, we'll tell you when the actual Product is ready.
Who can use our sites
You must be at least 13 years old to use our sites. If you are under 18, you may only use our sites with the involvement of a parent or legal guardian. By using our sites, you represent that you meet these requirements.
What you can do
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our public-facing websites for personal, non-commercial purposes. You may:
- Read and interact with our preview content;
- Join our waitlists;
- Share links to our pages on social media or with friends;
- Use the interactive previews (such as prompt generators and mini-games) for your own creative reference.
What you can't do
You may not:
- Copy, scrape, or republish substantial portions of our content;
- Reverse-engineer, decompile, or attempt to access source code;
- Use our sites to send spam, malware, or any harmful or fraudulent content;
- Use automated tools, bots, or scripts to access our sites except for legitimate search-engine indexing;
- Attempt to gain unauthorized access to any part of our infrastructure;
- Use our sites in violation of any applicable law or regulation;
- Impersonate another person or misrepresent your affiliation with anyone.
Your content
If you enter content into any of our interactive previews — for example, lyrics, prompt ingredients, or song titles — you keep all rights to that content. We don't claim ownership.
By entering content, you grant us a limited, non-exclusive, royalty-free license to process that content solely for the purpose of returning a response to you (for example, scoring your lyrics or generating a music prompt). We don't use your inputs to train AI models or for any purpose other than serving you the immediate response.
Our content
Everything on our sites that we created — the design, code, copy, brand names, logos, illustrations, and product concepts — is owned by Veridem or licensed to us. It's protected by copyright, trademark, and other laws. You may not use any of it for commercial purposes without our written permission.
The names Stem:Ample, Re:Writ, Compose:EP, MHAIX, MHAIX·V, Rendered Sound, and Veridem are trademarks of Veridem Holdings Inc.
Previews and waitlists
Our preview pages and interactive demos are intended to give you a feel for what each Product will do. They are not the final Products. Features, prices, availability, and even the existence of specific features may change before launch.
Joining a waitlist does not guarantee access to a Product when it launches. We may grant access in waves based on capacity and other factors. We may also discontinue or change the waitlist at any time.
No warranties
Our sites and Products are provided "as is" and "as available". To the maximum extent permitted by law, Veridem disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We don't warrant that our sites will be uninterrupted, secure, or error-free, or that any defects will be corrected. Any reliance you place on our content is at your own risk.
Limitation of liability
To the maximum extent permitted by law, Veridem and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of our sites or Products.
Our total liability to you for any claim arising from or related to these Terms or your use of our sites will not exceed one hundred U.S. dollars (USD $100).
Indemnification
You agree to indemnify and hold harmless Veridem and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of our sites.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by posting an updated version with a new effective date. Your continued use of our sites after a change means you accept the updated Terms.
Termination
We may suspend or terminate your access to our sites at any time, for any reason, with or without notice. You may stop using our sites at any time. Sections relating to your content, our content, no warranties, limitation of liability, indemnification, and governing law will survive any termination.
Miscellaneous
These Terms, together with our Privacy Notice, are the entire agreement between you and Veridem regarding your use of our sites. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them freely.
